Version 1.2 — Published on Aug 15, 2024

This End User License Agreement or “EULA” is a legal agreement between the font purchaser, herein called “Customer,” and the font developer, “Isaco Type,” concerning the “Font Software” and its different forms of use, herein generically called “Specific Usages,” being also applicable to any material that may be associated with the Font Software now or in the future. “Font Software” or “font” is defined here as the coded software that generates typeface and/or illustration designs when used in appropriate text and image creation and editing applications, plus any and all data provided with such software.
This EULA applies to Font Software that have been purchased directly through the Isaco Type website (isacotype.com) and through other official direct sales channels. This EULA does not apply to resellers and distributors (such as MyFonts, Fontspring, etc.) that may have different license agreements.
By downloading the Font Software, the Customer confirms that has read all the statutes of this EULA and accepts without reservation all the obligations and conditions, general and specific, set forth in this EULA. In case of not agreeing with this EULA, the Customer may not download, install, use or embed the Font Software.

1. Grant of License
Isaco Type grants the Customer a limited, non-exclusive, non-transferable license to use the Font Software, for each Specific Usage obtained, determined in this EULA. This license grant covers commercial and non-commercial purposes, with the exception of Trial use, intended only for non-commercial, testing purposes.

2. Limited Warranty
Isaco Type warrants that the Font Software will perform in conformity with the specifications presented on the Isaco Type website. This warranty is applicable to full retail licenses only. Damaged or defective Font Software may be replaced when accompanied by the valid sales receipt and order number within thirty (30) days of purchasing the Font Software. Except for this, Isaco Type does not make any other warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.
Isaco Type does not warrant that the functions contained in the Font Software will meet the Customer’s requirements or that its operation will be uninterrupted or error-free. The Font Software is provided “as is.” Isaco Type will welcome any comments and suggestions from the Customer regarding the Font Software, but is not obligated to modify it due to any requests (except for the reasons already stated). If the fonts don’t work as expected, please contact hello@isacotype.com.

3. Intellectual Property
The font files downloaded to the Customer’s computer contain Font Software that is intellectual property of Isaco Type, that owns the rights for distribution and reserves all rights to intellectual property.

4. Font Software Copy
Excepting Trial font files, the Customer may take a copy of the Font Software used in a project to a commercial printer or service agency for its reproduction. The Customer may also provide a copy of the Font Software to his/her own client, when necessary, for correction purposes only. Upon completing the project or correction, the service agency or client must delete its copy of the Font Software.
The Customer may install copies of the Font Software on different devices, as long as they are used only in the work environment and that the total number of unique users does not exceed the limit specified on the invoice. Copies of the Font Software are allowed for archival purposes, provided that the Customer retains exclusive control over such copies. The Customer agrees to take all possible care so that such copies do not leave his/her possession.

5. Editing Font Software
When the Specific Usage permits, according to Section 12 of this EULA, the Customer can subset the fonts, using the program or service of his/her choice. Except in this particular case, the Customer may not edit or convert the Font Software to different formats from those provided by Isaco Type. The use of font creation/edition programs to modify, alter, adapt, change spacing and kerning, edit features and other internal instructions, redraw glyphs, translate, rename, reverse engineer, decompile or disassemble the Font Software itself is strictly prohibited. Likewise, it is prohibited to generate any kind of derived font or software of any nature using the provided font files without the express permission from Isaco Type. The Customer can modify the glyph forms of a font only after they has been converted to outlines, only from drawing programs like Illustrator, treating them as graphical objects.

6. License Transfer
The Font Software and licenses are non-transferable. Under no circumstances the Customer may sell, distribute, loan, lease, rent, donate, share or give away the Font Software and/or license to another person or entity, as well as making copies, except as permitted herein.

7. Limitation of Liability
Isaco Type disclaims and rejects any liability for any losses, specially on circumstances where the Font Software use may lead to death, personal injury, property damage, severe physical or environmental damage, business interruption, loss of business information or profit lost, even if Isaco Type has been advised of the possibility of such damages. Under no circumstances Isaco Type’s liability shall exceed the replacement cost of the Font Software.

8. EULA Modifications and Termination
This EULA may be amended or modified in future versions, by an authorized officer of Isaco Type, at any time and without prior notification other than updating the publication date herein. This EULA may be terminated without notice if the Customer breaches or fails to comply with any term contained herein.

9. Applicable Law and Jurisdiction
This EULA is subject to and will be interpreted in accordance with the laws of the Federative Republic of Brazil, State of Rio Grande do Sul. Any dispute which may arise relating to the existence, making, validity, interpretation, and/or the execution of this EULA will, in the absence of amicable settlement, take place before the state and federal Brazilian courts.

The font formats provided are otf and/or ttf.

In case more users are required, the Customer is obliged to purchase a license that permits its use for the additional users. This license is perpetual, valid indefinitely for the maximum number of end users specified in the invoice.

c) Each authorized user may install the Font Software on as many devices as necessary, as long as the Font Software is used exclusively by this individual user in carrying out his/her work.

d) The font embedding is permitted only in a secured print/read-only mode. The Customer must ensure that recipients of such documents cannot extract the Font Software or use the embedded Font Software for editing purposes, or for the creation of new documents. A non-protected PDF file is permitted only when sending files to a service agency for outputting purposes.

10.2. Webfonts

a) The Customer can style texts via @font-face CSS rule, in web-specific format called “webfont.” The font formats provided are ttf, woff and woff2.

b) This specific usage is valid for an unlimited number of domains/websites, based on the number of pageviews per month. The total number of pageviews per month of all websites must be less than or equal to the pageviews limit purchased. In case the monthly traffic on the website(s) exceeds the limit, the Customer is obliged to upgrade to a license that grants the rights to use the Font Software for a higher number of pageviews per month. This license is perpetual, valid indefinitely for the maximum number of pageviews per month specified in the invoice.

c) The Customer is responsible for estimating the number of pageviews and must choose, at the time of purchase, the most appropriate maximum number. No type of counting, tracking or inspection of the use of webfonts will be carried out by Isaco Type, who in good faith will grant the license based on the number provided.

d) The Customer can subset the fonts, using the program or service of his/her choice. The font files generated must have the same format as the original files (e.g.: woff to woff, ttf to ttf).

e) The font embedding is permitted only by self-hosting the Font Software on a secure web server owned by the Customer via @font-face CSS rule. Other embedding or font replacement techniques such as Cufon or sIFR are not permitted. The font files cannot be distributed or downloaded from the server.

f) The Customer is not entitled to a refund, offset or other adjustment in the event of a reduction in the number of pageviews per month, irrespective of the reasons.

This license is perpetual, valid indefinitely for the maximum number of active users per month specified in the invoice. Updated versions of apps that are free to previous clients and regional or format variations do not require a new license.

c) The Customer is responsible for estimating the number of active users and must choose, at the time of purchase, the most appropriate maximum number. No type of counting, tracking or inspection of the use of font files will be carried out by Isaco Type, who in good faith will grant the license based on the number provided. If the Customer has no way of monitoring active users, the metric used can be the number of downloads per month.

d) The Customer can subset the fonts, using the program or service of his/her choice. The font files generated must have the same format as the original files (e.g.: woff to woff, ttf to ttf).

e) The font embedding is permitted but must be securely encapsulated inside each app, using obscuration techniques, compression or encryption, masking the original font files. a) The Customer can install the Font Software on a remote server that will allow the generation of static texts and/or images, through any service developed and offered by the Customer to the public, however without permitting downloading of the font files. The server may allow the download of the final output artwork, such as graphical designs, rasterized images or graphics, PDF documents or other personalized products and layouts.
